Contribution Terms

Terms and conditions for making a contribution to a campaign on Promise Tickets.

These Contribution Terms ("Terms") govern your use of the Promise Tickets platform ("Platform") operated by Determinant LLC ("Company," "we," "us," or "our") when you make a contribution ("Contribution") to a campaign listed on the Platform. By submitting a Contribution, you agree to be bound by these Terms.

1. What a Contribution Is

A Contribution is a gift that you commit to give to an event producer ("Producer") if their campaign converts. When you submit a Contribution:

  • You authorize the Company to save your payment card through Stripe, our third-party payment processor.
  • You agree that your card may be charged the total amount shown if the Producer initiates conversion of the campaign.
  • A Contribution is not a purchase. You are not buying a ticket, a perk, or any other good or service. The Producer is not obligated to deliver any goods or services in exchange for your Contribution.

If the Producer chooses to offer a gift, perk, or other benefit in connection with a Contribution tier, the Producer alone is responsible for fulfilling that perk. The Company does not verify, guarantee, or fulfill any perks.

2. The Platform's Role

Promise Tickets is a technology platform that facilitates transactions between Producers, individuals who make Contributions or ticket promises ("Patrons"), and venue operators. The Company is not the recipient of your Contribution. The Company is not an event producer, sponsor, or fiduciary for either party.

  • The relationship created by a Contribution is between you and the Producer, not between you and the Company.
  • The Company collects a service fee from each Contribution (see Section 5).
  • The Company does not guarantee that any campaign will convert, that any event will take place, or that any perk will be delivered.

3. Conversion and When Your Card Is Charged

Your card is not charged when you submit a Contribution.

3.1 What Conversion Is

"Conversion" is when the Producer confirms the campaign and charges all saved Patron cards at once. Conversion is a manual action taken by the Producer — it is not automatic. A Producer may convert a campaign even if any fundraising goal shown on the campaign page has not been met.

3.2 What Happens at Conversion

When a Producer initiates conversion, the Company submits your saved card to Stripe for charging in the amount shown on your Contribution. The funds (less the service fee described in Section 5) are transferred to the Producer's connected Stripe account.

3.3 If Conversion Does Not Happen

If a campaign expires or is cancelled without converting, your saved card information is detached from the campaign and no charge occurs (subject to Section 3.4). You are not entitled to any payment, perk, or other consideration in this case.

3.4 Immediate-Collect Contributions (Optional Patron Opt-In)

On campaigns that the Producer has enabled for immediate-collect contributions, the Contribution form will show a checkbox labeled "Send my contribution to the producer right away" or substantially similar language. This option is off by default.

If you affirmatively check that option when submitting your Contribution, you are agreeing to a different contract from the default described in Sections 3.1 — 3.3:

  • Your card is charged at the time you submit the Contribution, not later at conversion.
  • The funds (less the service fee described in Section 5) are transferred to the Producer's connected Stripe account at the time of charge.
  • Your Contribution is independent of the ticket threshold and any fundraising goal. It does not depend on whether the campaign reaches its ticket threshold or converts.
  • If the campaign is later expired or cancelled, your immediate-collect Contribution is not returned. You explicitly waived the protection described in Section 3.3 by selecting this option.
  • All other provisions of these Terms — including the gift framing in Section 1, the no-refund-entitlement rule in Section 6, the tax treatment in Section 7, the limitation of liability in Section 11, and the dispute resolution provisions in Section 12 — apply equally to an immediate-collect Contribution.

You may not opt into immediate-collect on a campaign that the Producer has not enabled for it. The default contract described in Sections 3.1 — 3.3 applies to any Contribution where you did not affirmatively check the immediate-collect option.

4. Cancellation Before Conversion

You may cancel your Contribution at any time before the campaign converts, at no cost — unless you selected immediate-collect at submission (Section 3.4), in which case your card has already been charged and cancellation is not available. For non-immediate Contributions: use the cancellation link in your Contribution confirmation email or contact the Producer directly. Upon cancellation, your saved card information is detached from the campaign and your Contribution is voided.

You cannot cancel a Contribution after the campaign has converted, and you cannot cancel an immediate-collect Contribution at any time after submission. In either case, if you wish to have the funds returned, you must request a refund from the Producer, who may issue one at their sole discretion (Section 6).

5. Service Fee

The Company charges a service fee on each Contribution. The fee amount is shown on the Contribution form before you submit. Depending on the Producer's settings, you may be given the option to cover the fee on top of your Contribution amount, or the fee may be deducted from the Producer's portion. In either case, the fee is the Company's compensation for operating the Platform.

6. After Conversion or Immediate Collection — No Refund Entitlement

A Contribution is a gift. The Producer is not obligated to refund a Contribution after it has been charged, whether the charge happened at conversion (Section 3.2) or at submission via immediate-collect (Section 3.4). The Producer may issue a refund at their sole discretion. The Company does not initiate refunds on Contributions and is not a party to any refund decision.

If a Producer voluntarily issues a refund through the Platform, the Stripe processing fee for the original charge may not be returned, and the service fee retained by the Company is not refunded.

7. Tax Treatment

Contributions to for-profit Producers are not tax-deductible. The Company does not represent or warrant that any Contribution is deductible as a charitable contribution, business expense, or for any other tax purpose. You are solely responsible for any tax consequences of your Contribution. If a Producer represents that they are a registered tax-exempt organization, you should obtain documentation from that Producer directly; the Company does not verify tax-exempt status.

The Company does not issue tax receipts for Contributions.

8. Failed Charges

If your card is declined when the Producer initiates conversion, the Company will mark your Contribution as failed and may notify you. You will not be charged for a failed Contribution. The Producer is not obligated to retry the charge or to deliver any perk associated with a failed Contribution.

9. Anonymity

If you choose to mark your Contribution as "anonymous," the Producer will see your Contribution amount but not your name in the producer's dashboard listing. The Producer will still see your email and other account information, and the Company retains your full record for fraud prevention, accounting, and legal purposes. "Anonymous" is a display preference, not a privacy guarantee.

10. Privacy and Data Sharing

By submitting a Contribution, you authorize the Company to share with the relevant Producer the information necessary for them to fulfill any perk, communicate with you, and account for the Contribution, including your name, email, Contribution amount, and any display name you provided. The Company's Privacy Policy describes how we handle your personal data.

11. Limitation of Liability

To the fullest extent permitted by law, the Company is not liable for any failure of a Producer to deliver an event, a perk, or any other expected benefit; for any dispute between you and a Producer regarding a Contribution; or for any loss arising from your Contribution. Your sole remedy in any such case is against the Producer.

12. Dispute Resolution

Disputes regarding the use of the Platform are governed by the dispute resolution provisions in our Promise Terms. Disputes between you and a Producer regarding a Contribution must be resolved with the Producer directly.

13. Governing Law

These Terms are governed by the laws of the state in which the Company is organized, without regard to conflict-of-laws principles.

14. Modifications

The Company may modify these Terms at any time by posting the updated Terms on the Platform. Modifications apply to Contributions submitted after the updated Terms take effect.
